Omnibus Price History for Shopify

Terms of Service

Last updated: 14 September 2026 · Effective: 14 September 2026

These terms are the agreement between you, the merchant installing the App on your Shopify store, and us, the Provider. Installing or using the App means you accept them. If you are accepting on behalf of a company, you confirm you are authorised to do so.

2. Definitions

3. What the App does

The App exists to help you meet the price-indication obligations of Directive 98/6/EC as amended by Directive (EU) 2019/2161 (the “Omnibus Directive”), as implemented in your national law. Specifically, it:

Where the App has not observed a variant for long enough to establish a pre-campaign price — for example a variant that was already discounted when the App first saw it — it does not invent one. It labels the variant as indeterminate and surfaces your own compare-at price instead. Where a discount campaign has run longer than the configured campaign limit, the App treats it as the ordinary price rather than a reduction and labels it accordingly.

The App builds history from what it observes. It has no record of prices that applied before you installed it, so the first 30 days of use are a warm-up period during which a growing proportion of your catalogue moves from indeterminate to a computed Reference Price.

4. What the App is not

The App is a tool, not legal advice, and not a guarantee of compliance. We are not a law firm and nothing the App produces is a legal opinion. National implementations of the Omnibus Directive differ, enforcement practice differs, and the correct treatment of introductory offers, loyalty pricing, progressive reductions, personalised prices and bundles is contested in several member states.

You remain solely responsible for the prices and price claims you display to consumers, for checking that what the App publishes is correct for your catalogue and your jurisdiction, and for how your theme presents it. Displaying a Reference Price produced by the App does not transfer that responsibility to us.

The App does not set, change or recommend your prices. It does not process orders, payments or consumer personal data. It does not monitor your competitors.

5. Installation and access

The App is installed through Shopify’s managed installation flow. At install you grant the access scopes the App declares — currently reading products, writing products (to publish the metafield) and reading discounts. The App exchanges your session for an offline Shopify Admin API access token so that it can run scheduled work while nobody is signed in. We store that token encrypted and use it only to operate the App for your Store.

Your use of Shopify is governed by your own agreement with Shopify. We are not a party to it. If Shopify suspends or terminates your store, changes its APIs, or changes the terms on which apps may operate, the App may become unavailable to you in whole or in part, and section 15 applies.

If we add an access scope, Shopify will ask you to re-authorise. Until you do, the features that need the new scope will not work; the rest of the App continues as before.

6. Plans, fees and billing

Plans, their prices and what each includes are shown in the App before you select one. Prices are stated in US dollars and charged monthly unless the plan says otherwise.

7. Trials and free plans

Where a plan offers a trial, the trial is granted once per Store. Uninstalling and reinstalling, or cancelling and re-subscribing, does not grant a further trial.

A free plan is offered for small catalogues, and we may also grant an account a time-limited free arrangement. A time-limited arrangement ends on the date shown in the App, after which the ordinary catalogue applies and scheduled processing stops until a plan is selected. Free plans carry no service credits under the SLA, because no fee has been paid.

8. Your responsibilities

9. Acceptable use

You must not, and must not permit anyone else to:

We may apply rate limits and quotas to protect the service. Support messages and any other content you submit through the App are subject to the size and volume limits enforced by the App.

10. Availability and support

Availability targets, support channels, response times and service credits are set out in the Service Level Agreement, which forms part of these terms. The service credits described there are your sole and exclusive financial remedy for a failure to meet the stated availability target.

11. Your data and privacy

How we handle data is described in the Privacy Policy. In summary: you remain the controller of your Store Data; we process it as your processor to provide the App; we store it in the European Union; and we do not collect personal data about your customers.

We may use aggregated, de-identified statistics about how the App is used — volumes, error rates, performance — to operate and improve it. Such statistics never identify you, your Store or your catalogue.

When you uninstall the App, Shopify notifies us and we stop processing for your Store immediately. Shopify then sends a shop-redaction request, typically about 48 hours later, and we delete your Store Data 30 days after receiving it. Reinstalling within that window restores your history. A record of administrative actions taken on your account is retained beyond that point for audit and security purposes, as described in the Privacy Policy.

12. Intellectual property

We own the App and everything in it, including its software, interfaces, documentation and trademarks. These terms grant you a non-exclusive, non-transferable, revocable right to use the App on your Store for the duration of your Subscription, and nothing more.

You own your Store Data, including the price history the App derives from it and the metafields it writes to your Store. Those metafields remain on your Store after the App is removed, and you are free to keep, export or delete them.

If you send us feedback, suggestions or feature requests, we may use them without restriction and without owing you anything.

13. Confidentiality

Each party may receive information from the other that is marked confidential or that a reasonable person would understand to be confidential. Each party will protect the other’s confidential information with at least reasonable care, use it only to perform under these terms, and not disclose it except to personnel and subcontractors bound by equivalent obligations, or where required by law. This does not apply to information that is public through no fault of the receiving party, was already known to it, or is independently developed by it.

14. Warranties and disclaimers

We warrant that we will provide the App with reasonable skill and care, and in accordance with the SLA.

Beyond that warranty and any rights you have under mandatory law, the App is provided “as is”. We do not warrant that it will be uninterrupted or error-free, that the Reference Price it computes is correct or sufficient for any particular legal obligation, that it will detect every price change, or that it will meet any specific regulator’s expectations. To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

The App depends on Shopify’s APIs, on the accuracy of the data Shopify exposes, and on your theme. We are not responsible for defects, outages, rate limits or data errors originating with Shopify or with software we do not control.

15. Limitation of liability

Nothing in these terms limits either party’s liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited.

Subject to that, and to the fullest extent permitted by law:

The parties agree that this allocation of risk is reasonable given the fees charged, and that the fees would be materially higher without it. If you need a higher cap, contact us before relying on the App.

16. Indemnification

You will indemnify us against claims, damages and reasonable costs arising from your breach of section 9 (Acceptable use), from your prices or price claims, or from content you publish to consumers, except to the extent the claim results from our breach of these terms.

We will indemnify you against third-party claims that the App as supplied by us infringes that party’s intellectual property rights, provided you notify us promptly, let us control the defence, and cooperate. This does not apply where the claim arises from your modification of the App, from your combining it with something we did not supply, or from your use of it in breach of these terms. Our liability under this paragraph is subject to section 15.

17. Term, suspension and termination

These terms apply from the moment you install the App until the App is uninstalled or the Subscription ends.

18. Changes

We develop the App continuously and may add, change or remove features. We will not materially reduce the core function described in section 3 during a period you have paid for.

We may amend these terms. For material changes we will give at least 30 days’ notice in the App or by email, and the change takes effect on the date stated. If you do not accept a material change, your remedy is to uninstall the App before it takes effect. Non-material changes — clarifications, corrections, updated contact details — take effect when published. The date at the top of this page is always the date of the current version.

19. General

20. Governing law and disputes

These terms are governed by the laws of Finland, excluding its conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods.

The parties will first try in good faith to resolve any dispute by negotiation. Failing that, the District Court of Helsinki (Helsingin käräjäoikeus) has exclusive jurisdiction. Nothing in this section prevents either party from seeking injunctive relief in any competent court to protect its intellectual property or confidential information.

This agreement is business-to-business. Where you are established in another EU member state, any mandatory provision of your local law that cannot be derogated from by agreement continues to apply.
